1. Agreement to Terms

By accessing or using Fayvr ("Platform," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

We reserve the right to modify these Terms at any time. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

2. Platform Description

Fayvr is a marketplace platform that connects users who need help with tasks ("Requesters") with users who provide services ("Helpers"). Fayvr is not a party to any agreements between Requesters and Helpers and acts solely as a technology platform facilitating connections.

3. Prohibited Activities and Illegal Content

You expressly agree NOT to use Fayvr for any illegal, unlawful, or prohibited activities, including but not limited to:

• Drug-related activities, including purchase, sale, or distribution of controlled substances
• Weapons or firearms transactions
• Human trafficking or exploitation
• Sexual services or escort services
• Gambling or illegal betting
• Theft, fraud, or receipt of stolen goods
• Money laundering or financial crimes
• Harassment, threats, or violence
• Activities involving minors in unsafe or inappropriate situations
• Any activity that violates federal, state, or local laws

Fayvr's Response to Illegal Activity: We actively monitor the Platform for prohibited content and activities. When illegal or prohibited activity is detected:

• We will immediately remove the content and suspend or terminate the accounts involved
• We will report illegal activity to appropriate law enforcement authorities as required by law
• We will cooperate fully with law enforcement investigations
• We reserve the right to preserve evidence and user data for legal proceedings

IMPORTANT: Users engaging in illegal activities on the Platform may face account termination, loss of funds, legal action, and criminal prosecution. Fayvr has zero tolerance for illegal activity.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAYVR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Actions of Users: Any acts, omissions, conduct, or behavior of Requesters, Helpers, or other users
• Quality of Services: The quality, safety, legality, or fitness for purpose of any services provided by Helpers
• Personal Injury or Property Damage: Any injury, death, property damage, or loss resulting from interactions between users or services performed
• Financial Loss: Any financial loss, lost profits, or economic damages
• Indirect Damages: Any indirect, incidental, special, consequential, or punitive damages
• Data Loss: Loss of data, loss of use, or loss of business opportunities
• Third-Party Actions: Actions or content of third parties on the Platform
• Force Majeure: Events beyond our reasonable control including natural disasters, pandemics, war, or internet outages

IN NO EVENT SHALL FAYVR'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT OF FEES PAID BY YOU TO FAYVR IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

5. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties regarding availability, reliability, or accuracy of the Platform
• Warranties that the Platform will be uninterrupted, secure, or error-free
• Warranties regarding the conduct, identity, qualifications, or safety of users

We do not warrant, endorse, guarantee, or assume responsibility for any service, product, or content advertised or offered by users.

6. Indemnification

You agree to indemnify, defend, and hold harmless Fayvr and its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your violation of any law or the rights of third parties
• Any services you provide or receive through the Platform
• Any content you post or share on the Platform
• Any dispute between you and other users

7. User Responsibilities

As a user of Fayvr, you are responsible for:

• Due Diligence: Conducting your own background checks, verifying credentials, and assessing the suitability of other users
• Safety Precautions: Taking appropriate safety measures when meeting or interacting with other users
• Insurance: Obtaining adequate insurance coverage for your activities on the Platform
• Legal Compliance: Ensuring all activities comply with applicable laws, regulations, and licensing requirements
• Accurate Information: Providing truthful, accurate, and up-to-date information on your profile
• Tax Obligations: Reporting income and paying all applicable taxes

8. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Illegal or prohibited activities
• Fraudulent behavior
• Multiple user complaints or negative reviews
• Suspected security breaches or unauthorized access
• Non-payment of fees

Upon termination, you will lose access to your account and any associated content. We are not liable for any losses resulting from account termination.

9. Payment Terms

Fayvr charges a 10% platform fee on completed transactions. Payment processing is handled by Stripe, Inc. By using the Platform, you agree to Stripe's terms of service.

Refunds: Fayvr does not guarantee refunds for services. Disputes must be resolved between Requesters and Helpers. We may, at our sole discretion, intervene in disputes but are not obligated to do so.

Chargebacks: Fraudulent chargebacks may result in account termination and legal action.

10. Intellectual Property

All content on the Platform, including text, graphics, logos, software, and design, is the property of Fayvr or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our express written permission.

11. Dispute Resolution and Arbitration

Binding Arbitration: Any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.

Class Action Waiver: You agree to resolve disputes on an individual basis and waive your right to participate in class actions or class-wide arbitration.

Governing Law: These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law provisions.

12. Reporting Violations

If you become aware of any illegal activity, prohibited content, or violations of these Terms, please report it immediately to:

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Fayvr regarding your use of the Platform.
